Terms of Service
Please read these terms carefully before using the CDL Empire platform.

These Terms of Service ("Terms") govern your access to and use of the CDL Empire platform, operated by CDL Empire LLC. The Platform is a B2B SaaS marketplace connecting commercial truck drivers with trucking companies (carriers) and recruiters for hiring and employment purposes.
1. Acceptance of Terms
By accessing or using the CDL Empire platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CDL Empire LLC ("CDL Empire," "we," "us," or "our"), a Delaware limited liability company.
You must be at least 18 years of age and legally able to enter into contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.
2. Account Registration
To access certain features of the Platform, you must create an account. You agree to:
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share them with any third party
• Promptly update your account information if it changes
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at security@cdlempire.com if you suspect unauthorized access to your account
We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or pose a risk to the Platform or its users.
Each individual or business entity may maintain only one account of each role type. Creating duplicate accounts to circumvent limits or restrictions is prohibited.
3. User Roles and Responsibilities
The Platform supports multiple user roles, each with specific responsibilities:
Drivers:
• Must hold a valid Commercial Driver's License (CDL) and provide accurate CDL information
• Are responsible for keeping their profile, employment history, and credentials up to date
• Consent to having their profile visible to carriers and recruiters on the Platform, subject to privacy settings
• Understand that applying to jobs or messaging carriers may result in their contact information being shared when a carrier unlocks their profile
Carriers:
• Must provide a valid DOT number and maintain active FMCSA registration
• Are responsible for the accuracy of job postings, company information, and hiring terms
• Must use driver information obtained through the Platform solely for legitimate hiring and employment purposes
• May not resell, redistribute, or share unlocked driver contact information with third parties
Recruiters:
• Must be affiliated with or authorized by a registered carrier
• Are bound by the same data usage restrictions as carriers
• Must clearly identify their carrier affiliation when contacting drivers
Investors:
• Must meet applicable accreditation requirements where applicable
• Understand that investment returns are not guaranteed
• Are responsible for reviewing all investment documentation before committing funds
Administrators:
• CDL Empire administrators manage platform operations, user accounts, and content moderation
• Admin actions are governed by internal policies and these Terms
4. Subscriptions and Payments
CDL Empire offers subscription plans for both drivers and carriers:
Subscription Terms:
• Subscriptions are billed monthly and automatically renew unless cancelled
• You authorize CDL Empire to charge your payment method on file for recurring subscription fees
• Subscription prices are subject to change with 30 days' written notice
• Changes to subscription tiers take effect at the start of the next billing cycle
Carrier Subscription Plans:
• Base ($1,500/month): Up to 70 driver contacts per month
• Professional ($2,500/month): Up to 150 driver contacts per month
• Business ($5,000/month): Up to 400 driver contacts per month
• Enterprise ($10,000/month): Unlimited driver contacts
Driver Contact Limits:
• Each subscription plan includes a monthly allotment of driver contacts
• Unused contacts do not roll over to the next billing period
• Contact limits reset on each billing cycle renewal date
Cancellation:
• You may cancel your subscription at any time through your account settings or by contacting support
• Cancellation takes effect at the end of the current billing period
• No prorated refunds are issued for partial billing periods
• Access to subscription features continues until the end of the paid period
Payment Processing:
• All payments are processed securely through Stripe
• CDL Empire does not store credit card numbers directly
• You are responsible for maintaining valid payment information
5. Token Purchases
In addition to subscriptions, carriers may purchase contact tokens:
Token Packages:
• Starter: 5 tokens for $149
• Standard: 15 tokens for $399
• Bulk: 50 tokens for $999
Token Terms:
• Tokens are used to unlock individual driver contact information
• Purchased tokens do not expire
• Tokens are non-refundable once purchased
• Tokens are non-transferable between accounts
• Tokens work independently of or in conjunction with subscription plans
• When a subscription plan's monthly contact limit is reached, tokens are automatically used as a fallback (with user confirmation)
Token Usage:
• Each driver unlock consumes one token (or one subscription contact, if available)
• Once a driver's contact information is unlocked, it remains accessible to that carrier indefinitely
• Re-unlocking a previously unlocked driver does not consume additional tokens
6. SMS and Communications
By creating an account on CDL Empire and providing your phone number, you consent to receive transactional SMS text messages from CDL Empire at the phone number you provided. These messages are essential to the operation of the Platform.
Types of Messages:
• Direct message notifications (when another user sends you a message on the Platform)
• Service request updates (new requests, status changes, completions)
• Job application notifications (new applications, status updates)
• Account security alerts (login verification, password resets)
• Call connection notifications (when a proxied call is initiated through the Platform)
Message Frequency:
• Message frequency varies based on your activity on the Platform
• You will only receive messages related to actions taken on or relevant to your account
• Typical users receive 1-10 messages per week depending on activity level
Opt-In:
• You opt in to SMS communications by creating an account and providing your phone number
• You may also enable or disable specific SMS notification categories in your account settings (SMS preferences)
Opt-Out:
• You can reply STOP to any message to unsubscribe from all SMS notifications
• You can disable SMS notifications in your account settings under SMS Preferences
• Opting out of SMS does not affect your ability to use the Platform; you will still receive in-app notifications

Costs:
• Message and data rates may apply depending on your mobile carrier and plan
• CDL Empire does not charge for SMS messages, but your carrier's standard messaging rates apply
Phone Number Privacy:
• CDL Empire uses Twilio to deliver SMS and facilitate phone calls
• When calls are placed through the Platform, both parties see only the CDL Empire toll-free number (+1 833-712-5562), protecting your real phone number
• Your phone number is never shared with other users without your consent
• Phone numbers for Drivers and Carriers are encrypted at rest using AES-256 encryption
Carrier:
• Our SMS service is provided by Twilio Inc.
• Short code / toll-free number: +1 (833) 712-5562
• Messages are sent from this number only — CDL Empire will never send messages from other numbers
7. Call Proxy Service
CDL Empire provides a call proxy service that allows users to call each other through the Platform without revealing personal phone numbers.
How It Works:
• When you initiate a call through the Platform, CDL Empire calls your phone first
• Once you answer, CDL Empire bridges the call to the other party
• Both parties see only the CDL Empire toll-free number (+1 833-712-5562) on their caller ID
• Neither party's real phone number is revealed to the other
Call Logging:
• Call records (caller, recipient, duration, status) are logged for quality assurance and dispute resolution
• Call content is NOT recorded — only metadata is stored
• Call logs are retained for 12 months and then automatically purged
Availability:
• The call proxy service requires an active internet connection to initiate
• If the proxy service is temporarily unavailable, the Platform may fall back to direct phone dialing (standard tel: links) where your phone number may be visible to the other party
• The service is provided on a best-effort basis and CDL Empire is not responsible for call quality or connectivity issues
Costs:
• There is no additional charge to users for calls made through the Platform
• Standard carrier charges for incoming calls may apply depending on your mobile plan
8. Driver Data and Privacy
CDL Empire takes driver data protection seriously:
Data Collection:
• Driver profiles may include personal information, CDL credentials, employment history, and other professional details
• All personally identifiable information (PII) is encrypted using AES-256 encryption at rest
• Data in transit is protected by TLS 1.2+ encryption
Data Usage Restrictions:
• Carriers and recruiters who unlock driver contact information may only use it for legitimate hiring and employment purposes
• Reselling, redistributing, or using driver data for purposes unrelated to hiring is strictly prohibited and grounds for immediate account termination
• Automated scraping, harvesting, or bulk downloading of driver data is prohibited
FMCSA Data:
• CDL Empire may access and display publicly available FMCSA data for verification purposes
• Pre-Employment Screening Program (PSP) data is processed only with explicit driver consent
• All FMCSA data handling complies with applicable federal regulations
Driver Control:
• Drivers may update or remove their profile information at any time
• Drivers may control their visibility in search results
• Drivers may request deletion of their account and associated data, subject to legal retention requirements
9. Carrier Responsibilities
Carriers using the Platform agree to the following:
Hiring Practices:
• All job postings must be accurate, lawful, and reflect genuine employment opportunities
• Carriers must not discriminate against drivers based on race, color, religion, sex, national origin, age, disability, or any other protected characteristic
• Compensation terms, benefits, and job requirements must be clearly stated in job postings
Data Handling:
• Carrier must maintain reasonable security measures to protect any driver information obtained through the Platform
• Driver information must not be shared with unauthorized third parties
• Carriers must delete driver information upon request if no active employment relationship exists
Platform Usage:
• Carriers must not create fake job postings to collect driver information
• Automated or programmatic access to the Platform is prohibited without written authorization
• Carriers must maintain active DOT and FMCSA registration throughout their use of the Platform
Compliance:
• Carriers are solely responsible for compliance with FMCSA regulations, DOT requirements, and all applicable federal and state employment laws
• CDL Empire is not responsible for carrier compliance failures
10. Intellectual Property
CDL Empire Property:
• The Platform, including its design, features, code, content, logos, and trademarks, is the exclusive property of CDL Empire LLC
• You may not copy, modify, distribute, sell, or lease any part of the Platform without written permission
• The CDL Empire name, logo, and brand elements are registered trademarks
User Content:
• You retain ownership of content you submit to the Platform (profile information, job postings, messages, etc.)
• By submitting content, you grant CDL Empire a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating the Platform
• You represent that you have the right to submit any content you provide
Feedback:
• Any suggestions, ideas, or feedback you provide about the Platform may be used by CDL Empire without obligation or compensation to you
11. Limitation of Liability
Disclaimer of Warranties:
• The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied
• CDL Empire does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components
• We do not guarantee the accuracy or completeness of driver profiles, carrier information, or FMCSA data displayed on the Platform
Limitation of Liability:
• To the maximum extent permitted by law, CDL Empire shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amounts you have paid to CDL Empire in the twelve (12) months preceding the claim
• CDL Empire is not responsible for hiring decisions, employment outcomes, or disputes between drivers and carriers
Indemnification:
• You agree to indemnify and hold harmless CDL Empire, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or your use of the Platform
12. Termination
By You:
• You may terminate your account at any time by contacting support or through your account settings
• Termination does not entitle you to a refund of any prepaid subscription fees or purchased tokens
By CDL Empire:
• We may suspend or terminate your account at any time, with or without cause, and with or without notice
• Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, misuse of driver data, failure to maintain valid credentials, or non-payment
• Upon termination, your right to access the Platform ceases immediately
Effects of Termination:
• Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination
• Carriers lose access to previously unlocked driver contact information upon account termination
• We may retain certain data as required by law or for legitimate business purposes
13. Dispute Resolution
Governing Law:
• These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles
Informal Resolution:
• Before filing any formal legal action, you agree to attempt to resolve disputes informally by contacting us at legal@cdlempire.com
• We will attempt to resolve disputes within 30 days of receiving your notice
Arbitration:
• Any dispute that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA)
• Arbitration shall take place in Dallas, Texas
• The arbitrator's decision shall be final and binding
Class Action Waiver:
• You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action
• If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void
Exceptions:
• Either party may seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property disputes or emergency situations
14. Changes to Terms
CDL Empire reserves the right to modify these Terms at any time. Changes will be effective when posted on the Platform.
Notification:
• We will notify users of material changes via email and/or a prominent notice on the Platform
• Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms
Review:
• We encourage you to review these Terms periodically
• The "Last Updated" date at the top of this page indicates when the Terms were last revised
Disagreement:
• If you do not agree with updated Terms, you must stop using the Platform and may request account deletion
